    Terms of Service

    1. Acceptance of these Terms

    These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and Railex Technology OÜ with registered office at Järvevana tee 9, 11314 Tallinn, Estonia, Estonian commercial registry code 17515174 ("Railex", "we"), governing your access to and use of the website railex.eu and related services (the "Service").

    By accessing or using the Service you confirm that you have read, understood and agreed to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

    2. The Service

    Railex is a railway intelligence platform aggregating editorial content, public tenders, infrastructure projects, regulatory information, market data, safety incidents, events and training resources relevant to the global rail industry.

    The Service is provided as-is. We may add, modify, suspend or discontinue any feature at any time without prior notice, except where prior notice is required by mandatory law.

    3. Accounts

    Some features require a free account. You agree to:

    • Provide accurate registration information
    • Keep your credentials confidential
    • Be solely responsible for activity under your account
    • Notify us promptly of any unauthorised use

    You must be at least 16 years old to register. We may refuse, suspend or terminate accounts that breach these Terms.

    4. Acceptable use

    You agree not to:

    • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
    • Scrape, crawl or otherwise systematically extract content from the Service except as expressly permitted (e.g. RSS, sitemap)
    • Reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent permitted by Art. 64-quater L. 633/1941
    • Attempt to bypass authentication, authorisation or rate limits
    • Submit content that is unlawful, defamatory, obscene, infringing, fraudulent, or that contains malware
    • Use the Service to send unsolicited communications or to impersonate any person or entity
    • Use automated means to create accounts, generate content, or interact with the Service without our prior written consent
    • Resell, sublicense or commercially redistribute the Service or substantial parts of its database without our prior written consent

    We may employ automated systems (rate limits, abuse detection, audit logs) to enforce this section.

    5. Editorial content — accuracy disclaimer

    The editorial content published on the Service (articles, summaries, market snapshots, tender notices, incident reports, company profiles, training materials) is produced through an AI-assisted editorial pipeline with human review, as described in our Editorial Policy.

    Notwithstanding our editorial standards, content is provided for informational and professional-knowledge purposes only and does not constitute:

    • Investment, financial, legal, tax or procurement advice
    • A binding interpretation of any law, regulation, standard or contract
    • A substitute for primary public records (tender notices, regulatory texts, court judgments)
    • An offer to enter into any transaction or commercial relationship

    Always verify material facts (tender deadlines, contract values, regulatory deadlines, technical specifications) against the official primary source before acting on them. We disclaim liability for decisions taken in reliance on the Service to the maximum extent permitted by law.

    6. User-generated content

    You may publish content on the Service (public profile data, verifiable experience entries, declared expertise, alerts, comments where enabled) ("User Content"). You retain ownership of your User Content.

    By submitting User Content you grant Railex a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, display, perform and communicate it to the public, solely as necessary to operate, improve and promote the Service. This licence terminates when you delete the relevant User Content, subject to reasonable technical delay for cache propagation and to retention required by law.

    You represent and warrant that:

    • You own or have the rights necessary to submit your User Content
    • Your User Content does not infringe any third-party right
    • Verifiable experience claims (current/past employers, certifications) are accurate
    • You will not impersonate any person or entity

    We may remove or disable access to User Content that, in our reasonable assessment, violates these Terms or applicable law, in accordance with Article 16 of Regulation (EU) 2022/2065 (Digital Services Act). See our Copyright & Takedown page for notice-and-action procedures.

    7. Intellectual property

    All Railex-produced content, the database structure, the editorial pipeline, the source code, the trademarks, logos and graphics of the Service are owned by Railex or its licensors and are protected by Estonian, EU and international intellectual property law, including L. 633/1941, Directive (EU) 2019/790 and Directive 96/9/EC on the legal protection of databases.

    We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal professional purposes, subject to these Terms. No other rights are granted.

    Third-party trademarks, names and logos appearing on the Service belong to their respective owners and are used solely for descriptive and informational purposes ("nominal" or "informational" fair use).

    8. Third-party content and links

    The Service contains links to and excerpts from third-party publications. Such content remains the property of the respective publishers and is used under the conditions described in our Editorial Policy. Railex does not endorse and is not responsible for the content of external websites.

    9. Subscriptions, billing and renewal

    The Service offers a free tier and paid subscription plans (currently Essential and Pro; an Enterprise plan is available by contacting sales). Plan features, prices and currencies are listed at /pricing. Prices shown to consumers include VAT where applicable; B2B customers providing a valid VAT number are subject to the reverse-charge mechanism (Art. 196 Directive 2006/112/EC) and to local tax rules of their country.

    Automatic renewal. Paid plans are billed on a monthly recurring basis. Your payment method is automatically charged at the start of each billing period until you cancel. The renewal price is the price in force at the start of the new period; any change to your plan price will be communicated at least 30 days in advance, and you may cancel before the new price takes effect.

    Cancellation. You may cancel your subscription at any time from the Stripe Customer Portal accessible from /dashboard. Cancellation takes effect at the end of the current paid period; you retain full access until then. No partial-period refunds are issued except where required by mandatory consumer law.

    Right of withdrawal (EU consumers, B2C). Under Art. 9 and Annex I of Directive 2011/83/EU and Art. 52 et seq. of the Italian Codice del Consumo, you ordinarily have 14 days to withdraw from a distance contract without giving any reason. Railex provides digital services that begin to be performed immediately upon subscription, so by accepting these Terms and ticking the consent box at checkout you expressly consent to the immediate performance of the service and acknowledge that you lose the right of withdrawal pursuant to Art. 16(m) of Directive 2011/83/EU and Art. 59(1)(o) of the Codice del Consumo. If you have not been able to access the Service at all due to a defect on our side, contact info@railex.eu and we will issue a full refund.

    Refund policy. Outside the cooling-off scenario above, we do not provide pro-rated refunds for unused portions of the current period. Discretionary refunds may be granted in good faith for clearly identifiable billing errors (duplicate charges, charge after cancellation, charge for a plan you never accessed) — write to info@railex.eu within 30 days of the disputed charge.

    Payment processor. All payments are processed by Stripe Payments Europe Ltd (Ireland) under its own Privacy Policy and Terms. Railex never receives or stores your full payment card details.

    Out-of-pocket additions. The Enterprise plan and other custom engagements (sponsored listings, custom reports, API integrations) are governed by a separate written order form that, when accepted, supersedes these Terms for the specific scope of those services.

    10. Suspension and termination

    We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have breached these Terms, where required by law, or to protect the security and integrity of the Service or its users. You may terminate your account at any time from /dashboard/security or by writing to info@railex.eu.

    11. Disclaimers

    The Service is provided "as is" and "as available". To the maximum extent permitted by law, Railex disclaims all express and implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness and uninterrupted availability.

    We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

    12. Limitation of liability

    To the maximum extent permitted by law, Railex (including its directors, employees, contractors and licensors) shall not be liable for:

    • Indirect, incidental, special, consequential or punitive damages
    • Loss of profit, revenue, business opportunity, goodwill or data
    • Damages arising from your reliance on editorial content or third-party data
    • Damages arising from unauthorised access to your account due to your failure to safeguard credentials

    In any case, Railex's aggregate liability arising out of or in connection with the Service, whether in contract, tort or otherwise, shall not exceed the greater of (i) the amount paid by you for the Service in the twelve months preceding the event giving rise to liability, or (ii) one hundred euros (€100).

    Nothing in these Terms limits or excludes liability that cannot be limited or excluded under mandatory applicable law (including liability for fraud, wilful misconduct, gross negligence, personal injury caused by negligence, or rights of consumers under Estonian and EU consumer protection law).

    13. Indemnification

    You agree to defend, indemnify and hold harmless Railex from and against any third-party claim, loss, damage or expense (including reasonable legal fees) arising out of (i) your breach of these Terms, (ii) your User Content, or (iii) your unlawful use of the Service.

    14. Changes to these Terms

    We may amend these Terms from time to time. We will publish the updated Terms on this page with an updated "Last updated" date and, for material changes, will notify registered users by email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms.

    15. Governing law and jurisdiction

    These Terms are governed by the laws of Estonia, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

    Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of Harju County Court (Harju Maakohus), Tallinn, Estonia. This clause does not deprive consumers domiciled in another EU Member State of the protection afforded by mandatory provisions of the law of their habitual residence (Art. 17 Regulation (EU) 1215/2012).

    Consumers may also use the European Commission Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

    16. Miscellaneous

    If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect. Our failure to enforce any right under these Terms is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition or sale of assets.

    These Terms, together with the documents referenced herein (Privacy Policy, Cookie Policy, Editorial Policy, Copyright & Takedown, Companies Data Policy), constitute the entire agreement between you and Railex regarding the Service.
